This Guideline aims to set out the frequently asked questions of registered shareholders (the “Shareholders”) of China Foods Limited (the “Company”) (such persons or companies whose names are entered in the Company’s register of members in respect of their shares in Company and they have share certificates evidencing their titles to the Company’s shares held) and the answers thereto with the objective of providing Shareholders with the necessary information about their share interest in the Company in order to enable them to exercise their rights in an informed manner.

The accounting periods for the first half of a year and full year end at 30th of June and 31st of December, annually respectively. 8. Ask: What is the treatment of unclaimed dividends?
Answer:
Pursuant to Bye-law 150 of the Company’s Memorandum of Association and Bye-Laws, any dividend unclaimed after a period of 6 years from the date of payment of such dividend shall be forfeited and shall revert to the Company. An announcement relating to forfeiture of any unclaimed dividends, which serves as a reminder to shareholders to take necessary action, will be made approximately 6 weeks before the effective date of the forfeiture.
9. Ask: When is the annual general meeting of China Foods Limited held normally?
Answer:
Annual general meeting is normally held in June.  A notice of annual general meeting with the date appointed for holding the annual general meeting is normally sent to Shareholders in April and published on the HKExnews website of The Stock Exchange of Hong Kong Limited and the website of the Company.  Details of the annual general meeting held in current year and recent years are available at “Shareholder Services” page.
10. Ask: How can I vote at an annual general meeting?
Answer:

Poll voting has been currently used for decision-making at Shareholders’  meetings to ensure that each share is entitled to one vote. A voting slip will be given to you or your proxy upon registration at the annual general meeting.  You can use the voting slip to cast your votes on a poll at the annual general meeting. The chairman of the annual general meeting or the representative authorised by the chairman will explain the poll voting procedures during the meeting so that Shareholders can follow and cast their votes as they wish.


After closing the poll, the scrutineer appointed by the Company will count the votes and the poll results will be published after closure of the annual general meeting on the HKExnews website of The Stock Exchange of Hong Kong Limited and the website of the Company.
11. Ask: What can I do if I would like to vote but cannot attend the annual general meeting?
Answer:
If you are unable to attend an annual general meeting in person, you may authorise the chairman of the annual general meeting to exercise your votes on your behalf or appoint another person to attend the annual general meeting and vote on your behalf.  In that case, you must complete the proxy form, which accompanies the notice of annual general meeting sent to you, in accordance with the instructions as set out therein and return the proxy form to the branch share register and transfer office of the Company not less than 48 hours before the time appointed for holding the annual general meeting.
12. Ask: Can I make a request for including a resolution in the annual general meeting?
Answer:

If you request for including a resolution, you should comply with the requirements and proceedings set out in the Memorandum of Association and Bye-laws of the Company.  Pursuant to bye-law 115 of the Memorandum of Association and Bye-laws of the Company, no person, other than a retiring director, shall, unless recommended by the directors for election, be eligible for election to the office of director at any general meeting, unless notice in writing of the intention to propose that person for election as a director and notice in writing by that person of his willingness to be elected shall have been given to the Company. Unless otherwise determined by the directors and notified by the Company to the members, the period for lodgment of the said notices shall be a 7 day period commencing on the day after the day of despatch of the notice of the meeting for such election of director(s) and ending on the date falling 7 days after the dispatch of the said notice of the meeting. If the directors should so determine and notify the members of a different period for lodgment of the said notices, such period shall in any event be a period of not less than 7 days, commencing no earlier than the day after the despatch of the said notice of the meeting and ending no later than 7 days prior to the date of such meeting.


Shareholders should deliver the following documents to the head office in Hong Kong at 33rd Floor, COFCO Tower, 262 Gloucester Road, Causeway Bay,  Hong Kong:


(i) notice in writing of the intention to propose a resolution at the annual general meeting; and
(ii) notice in writing by that candidate of his willingness to be elected, together with the information of the candidate required to be disclosed under Rule 13.51(2) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited and the letter of consent to disclose his personal information.
13. Ask: Where can I access corporate communications of China Foods Limited?
Answer:
The Company’s corporate communications (such as interim and annual reports) are available on the website of the Company for viewing or download.  Shareholders and investors who are interested in receiving corporate communications of the Company, including Directors’ Reports, Annual Accounts and Independent Auditors’ Reports, Interim Reports, Notices of Meetings, Circulars, and Forms of Proxy may register at the “Investment Service Centre” page on the website of The Stock Exchange of Hong Kong Limited, and upon successful registration, will receive alerts when the Company publishes its corporate communications on the HKExnews website of The Stock Exchange of Hong Kong Limited, free of charge.
14. Ask: What should I do if I don’t receive corporate communications?
Answer:
You should contact the Company’s registrar. The relevant corporate communications will be sent to you free of charge within 21 days (if the document requires an action to be taken by a Shareholder, within 7 days) after receiving your notification of non-receipt of corporate communications.
