The board of directors (the “Board”) of China Foods Limited (the “Company”) resolved to establish the Strategy and Investment Committee Committee on 24 March 2026.

The objective of the Strategy and Investment Committee Committee is (i) research and recommend on the medium-term and long-term development strategy of the Company; (ii) review and recommend on the medium-term and long-term strategic goals and development plans of the business of the Company; (iii) research and recommend on any other significant matters affecting the development of the Company; (iv) review the implementation of the above matters; and (v) other duties as delegated by the Board.
